Terms of Service for Maple Crest Chairworks

1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the products, services, website, communications, quotations, and related offerings provided by Maple Crest Chairworks (“Maple Crest Chairworks,” “we,” “us,” or “our”).
By requesting a quote, placing an order, scheduling a consultation, purchasing products or services, or otherwise engaging with Maple Crest Chairworks, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional terms referenced herein. If you do not agree, you must not use our services or place an order.
These Terms are intended to be interpreted in accordance with applicable laws in Canada, including applicable federal and provincial consumer protection, privacy, contract, and commercial laws.
2. Scope of Services
Maple Crest Chairworks provides chair-related products and services, which may include, without limitation:
- Custom chair design and sourcing;
- Office chair supply and replacement;
- Dining chair sales;
- Chair repair and restoration;
- Upholstery refresh and re-covering;
- Ergonomic seating consultation; and
- Bulk chair orders for businesses.
We may offer these services in person, by phone, by email, through our website, or through third-party platforms. Any quotation, proposal, estimate, or order confirmation is subject to availability, verification, and final acceptance by Maple Crest Chairworks.
Product descriptions, images, material samples, dimensions, finishes, and color representations are provided for convenience only and may vary due to manufacturing tolerances, material characteristics, lighting, display settings, or supplier changes.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, current, and complete information when placing orders, requesting services, or communicating with us;
- Review all quotations, specifications, measurements, materials, finishes, and customization details carefully before approval;
- Ensure that any chair, furniture, or workspace to be repaired, restored, fitted, or assessed is reasonably accessible and suitable for the requested work;
- Disclose any known defects, prior repairs, structural issues, safety concerns, allergies, or special handling requirements;
- Use products in a normal and intended manner and follow any care, assembly, maintenance, or safety instructions provided by Maple Crest Chairworks or the manufacturer;
- Obtain any necessary approvals, permissions, or consents for business orders, workplace installations, or deliveries to third-party locations; and
- Comply with all applicable laws and regulations in connection with your use of our services and products.
You are responsible for confirming that any ergonomic consultation, recommendation, or seating suggestion meets your personal, medical, occupational, or workplace requirements. Our consultations are informational and do not constitute medical advice.
Maple Crest Chairworks is not responsible for delays, errors, or additional costs caused by inaccurate information, late approvals, inaccessible premises, or failure to cooperate reasonably with service delivery.
4. Payment Terms and Conditions
Unless otherwise agreed in writing, all prices are quoted in Canadian dollars (CAD) and are exclusive of applicable taxes, shipping, delivery, installation, customs duties, brokerage fees, or other charges, which may be added where applicable.
- Quotes and estimates: Quotes are valid for the period stated on the quotation, or if no period is stated, for a reasonable time only and may be revised due to changes in material costs, labor, supplier pricing, or scope.
- Deposits: We may require a non-refundable or partially refundable deposit for custom orders, special sourcing, bulk orders, upholstery work, or restoration projects. The deposit amount and conditions will be disclosed before acceptance.
- Payment timing: Payment may be required in full before delivery, upon completion, upon ordering, or according to milestone billing as specified in the invoice or contract.
- Late payments: Overdue amounts may be subject to interest at the maximum rate permitted by applicable law, together with reasonable collection costs.
- Chargebacks and disputes: You agree to contact us first to resolve billing concerns in good faith before initiating a chargeback or payment reversal. Unjustified chargebacks may result in suspension of services and recovery of related costs to the extent permitted by law.
For custom, made-to-order, sourced, or specially procured items, payment obligations may arise once materials are ordered or production begins, even if delivery has not yet occurred.
5. Cancellation and Refund Policy
Cancellations and refunds are subject to the nature of the product or service, the stage of work, supplier terms, and applicable law.
- Custom and special-order items: Orders for custom-designed, sourced, personalized, or specially procured chairs and components may be non-cancellable and non-refundable once production, sourcing, or procurement has begun.
- Repair, restoration, and upholstery services: If work has commenced, you may be charged for labor, materials, disassembly, diagnostics, and any non-recoverable costs incurred up to the date of cancellation.
- Bulk and business orders: Cancellation terms for bulk orders will be set out in the applicable quotation, purchase order, or service agreement. Supplier restocking fees and restocking limitations may apply.
- Defective or incorrect items: If an item is materially defective, damaged on arrival, or materially different from the agreed specifications, you must notify us within a reasonable time after discovery so we may assess the issue and, where appropriate, repair, replace, or refund in accordance with applicable law.
- Consumer rights: Nothing in these Terms limits any non-waivable rights you may have under applicable Canadian consumer protection laws.
Refunds, if approved, will generally be issued using the original payment method, unless otherwise agreed or required by law. Shipping, delivery, installation, and handling charges may be non-refundable unless the return or refund is due to our error or a legal requirement.
6. Liability Limitations
To the fullest extent permitted by applicable law, Maple Crest Chairworks shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of use, loss of data, or business interruption, arising out of or relating to the services, products, or these Terms.
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to a product or service shall not exceed the amount paid by you to Maple Crest Chairworks for the specific product or service giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim.
We do not guarantee that any chair, seating solution, or ergonomic recommendation will prevent injury, discomfort, fatigue, or workplace-related issues. You are responsible for consulting qualified professionals where appropriate, including medical, occupational health, or safety professionals.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or any other liability that cannot lawfully be limited.
7. Intellectual Property Rights
All content, designs, text, graphics, photographs, logos, product descriptions, drawings, sketches, specifications, concepts, and other materials provided by Maple Crest Chairworks are owned by or licensed to Maple Crest Chairworks and are protected by applicable intellectual property laws.
Unless expressly agreed in writing, no intellectual property rights are transferred to you by virtue of a sale, consultation, or service engagement. You may not copy, reproduce, modify, distribute, display, publish, reverse engineer, or create derivative works from our materials without our prior written consent, except as permitted by law.
Custom design concepts, proposals, and renderings remain the property of Maple Crest Chairworks unless otherwise agreed in writing. Upon full payment, you receive a limited, non-exclusive right to use the final delivered product for its intended purpose.
If you provide us with designs, logos, specifications, or other materials, you represent that you have the necessary rights to do so and grant Maple Crest Chairworks a non-exclusive license to use those materials solely for the purpose of fulfilling your order or service request.
8. Data Protection and Privacy
Maple Crest Chairworks collects, uses, discloses, and retains personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation.
We may collect personal information such as your name, contact details, delivery address, billing information, order history, communication records, and service preferences for purposes including:
- Processing orders and providing services;
- Managing accounts, invoices, and payments;
- Arranging delivery, installation, repair, or pickup;
- Responding to inquiries and customer support requests;
- Improving our products, services, and operations; and
- Meeting legal, tax, accounting, and regulatory obligations.
We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
We may share personal information with service providers, payment processors, delivery partners, suppliers, or professional advisors as reasonably necessary to provide our services and operate our business, subject to appropriate confidentiality and privacy obligations.
By using our services, you consent to the collection, use, and disclosure of your personal information as described in these Terms and in any separate privacy notice we may provide. If a separate privacy policy exists, it forms part of our privacy practices and should be read together with these Terms.
9. Force Majeure
Maple Crest Chairworks shall not be liable for any delay or failure to perform any obligation under these Terms if such delay or failure results from events beyond our reasonable control, including but not limited to natural disasters, fire, flood, severe weather, labor disputes, supply chain disruptions, transportation delays, power outages, epidemics, pandemics, governmental actions, war, terrorism, civil unrest, or failures of third-party suppliers or service providers.
In such circumstances, our obligations will be suspended for the duration of the force majeure event, and we will use commercially reasonable efforts to resume performance as soon as practicable.
10. Changes to Terms
Maple Crest Chairworks may update or modify these Terms from time to time to reflect changes in our business, legal requirements, or operational practices. The revised Terms will be effective when posted, communicated, or otherwise made available to you, unless a later effective date is stated.
Your continued use of our services after any update constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of our services and, where applicable, refrain from placing additional orders.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or any product supplied by Maple Crest Chairworks shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Subject to any mandatory consumer protection rights or other non-waivable legal rights, the courts located in Ontario, Canada shall have exclusive jurisdiction over any dispute arising from or relating to these Terms, and you consent to the personal jurisdiction of such courts.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed or limited to the minimum extent necessary so that the remaining provisions remain in full force and effect.
The failure of Maple Crest Chairworks to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision unless expressly acknowledged in writing.
